Terms

Terms of Use

These terms govern access to and use of the Assiduity website, research, publications, and other public digital materials.

Effective date: September 18, 2026

Scope

Website terms, not a product license.

01

Public website

These Terms cover Assiduity's public website, research, publications, and digital materials that link here.

02

Product access

Demos, evaluations, pilots, APIs, software, and customer deployments may be governed by separate written terms.

03

Our technology

Accessing the Site does not grant a license to Assiduity software, source code, models, methods, or proprietary technology.

Welcome to the Assiduity website.

These Terms of Use (“Terms”) govern your access to and use of the Assiduity website and other public digital properties that link to these Terms (collectively, the “Site”).

Assiduity AI (“Assiduity,” “we,” “our,” or “us”) provides the Site subject to these Terms. By accessing or using the Site, you agree to be bound by them. If you do not agree to these Terms, please do not use the Site.

Product and Service Agreements

These Terms govern the public Site. They do not, by themselves, grant access to or a license for Assiduity software, APIs, SDKs, dashboards, hosted environments, pilots, evaluation systems, or production services.

A demo, evaluation, pilot, customer deployment, or other product relationship may be governed by an order form, evaluation agreement, license, data-processing agreement, statement of work, or other written agreement. If a separate written agreement conflicts with these Terms, that agreement controls for the covered product or service.

Privacy

Please review our Privacy Policy, which describes how Assiduity collects, uses, discloses, and protects personal information associated with the Site and related interactions.

Site Purpose

The Site provides information about Assiduity's company, products, technology, generation-time control, research program, publications, demonstrations, and related business and technical subjects.

Site content is provided for general informational, research, educational, and business purposes. Unless expressly stated otherwise, Site content does not constitute legal, financial, investment, medical, compliance, cybersecurity, or other professional advice.

Intellectual Property

Unless otherwise indicated, the Site and material published on it—including text, graphics, logos, visual identity elements, illustrations, photographs, designs, compilations, software demonstrations, interface elements, documentation, and other content—are owned by Assiduity, its authors, contributors, licensors, or other respective rights holders and are protected by applicable copyright, trademark, patent, trade-secret, and other intellectual-property laws.

Copyright © 2026 Assiduity AI and/or the respective authors or licensors. All rights reserved except where otherwise stated.

Nothing in these Terms transfers ownership of Assiduity intellectual property to you, and no rights are granted except as expressly stated.

Assiduity Technology

The Site may describe, illustrate, or demonstrate Assiduity technology, including generation-time control, Equilibrium-Constrained Decoding, control telemetry, path evidence, operating-mandate representations, software architecture, research methods, and related systems or concepts.

Access to those descriptions does not grant a license or other right to use, reproduce, reverse engineer, distribute, commercialize, or create derivative implementations of Assiduity software, source code, confidential materials, proprietary implementations, or other protected technology except as permitted by applicable law or a separate written agreement with Assiduity.

Permitted Use

Subject to these Terms, Assiduity grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use the public Site for lawful personal, educational, scholarly, research, journalistic, evaluation, and business-information purposes.

You may link to publicly available pages on the Site provided the link does not falsely suggest sponsorship, endorsement, affiliation, or approval by Assiduity.

Ordinary quotation, citation, commentary, criticism, scholarship, teaching, research, and other uses permitted by applicable copyright law remain unaffected by these Terms.

Prohibited Use

Except as permitted by applicable law or with prior written permission from Assiduity, you may not:

  • reproduce, distribute, or commercially republish substantial portions of the Site;
  • remove or obscure copyright, trademark, attribution, or proprietary notices;
  • use Assiduity marks or visual identity in a way likely to cause confusion about affiliation, sponsorship, or endorsement;
  • interfere with the operation, availability, integrity, or security of the Site;
  • attempt to gain unauthorized access to systems, accounts, networks, software, or information;
  • introduce malicious code or use the Site to distribute malware;
  • impersonate Assiduity or another person or organization;
  • use the Site for unlawful, fraudulent, abusive, deceptive, or infringing activity; or
  • circumvent technical measures intended to protect the Site or nonpublic systems.

Automated Access, Crawling, and Data Mining

Automated tools may interact with publicly accessible portions of the Site only in a manner consistent with applicable law, these Terms, technical access controls, and any machine-readable instructions or policies published by Assiduity.

You may not use automated means to:

  • circumvent access controls or technical restrictions;
  • materially interfere with Site operation or impose an unreasonable burden on infrastructure;
  • access nonpublic portions of the Site or Assiduity systems;
  • harvest personal information, credentials, email addresses, or other identifiers;
  • misrepresent the source, authorship, or provenance of Assiduity material; or
  • use Site content in a manner that infringes copyright, trademark, trade-secret, or other applicable rights.

Nothing in this section is intended to restrict uses that applicable law expressly permits.

Trademarks and Brand Features

ASSIDUITY, ASSIDUITY AI, ALIGNED INTELLIGENCE, MOVE FAST. BUILD RELIABLE, EQUILIBRIUM-CONSTRAINED DECODING, ECD, the Assiduity logo, and other names, marks, slogans, designs, and identifiers displayed on the Site may be trademarks or other protected identifiers of Assiduity.

They may not be used in a manner that falsely implies affiliation, endorsement, sponsorship, or authorization by Assiduity. Marks belonging to third parties remain the property of their respective owners.

Research, Publications, and Attribution

Assiduity publishes technical research, managerial research, essays, benchmark results, diagrams, and other materials. Individually authored works reflect the analysis of their authors unless expressly identified as an institutional statement.

When quoting, discussing, reproducing, or building upon Assiduity research or publications, users should provide attribution appropriate to the material and the conventions of the relevant scholarly, technical, professional, or public context.

Research results, benchmark outcomes, performance measurements, examples, and demonstrations are context-dependent and may not represent performance in every model, workflow, dataset, configuration, deployment, or operating environment.

Feedback, Submissions, and Correspondence

Assiduity may invite questions, feedback, research correspondence, partnership inquiries, product requirements, evaluation materials, or other submissions. Unless separate written terms expressly provide otherwise, sending material to Assiduity does not transfer ownership of your copyright or other intellectual-property rights.

You represent that material you submit is yours to submit or that you otherwise possess the rights necessary to provide it to Assiduity. You may not knowingly submit material that is unlawful, infringing, fraudulent, malicious, or contains harmful code.

Unless Assiduity has expressly agreed otherwise, unsolicited correspondence, product ideas, feature suggestions, concepts, or other feedback should not be considered confidential.

Third-Party Services and Links

The Site may contain references or links to model providers, cloud providers, publications, benchmark providers, software projects, social platforms, or other third-party websites and services. Those references may be provided for context, citation, compatibility information, convenience, or technical explanation.

Assiduity does not control third-party services and is not responsible for their availability, content, security, privacy practices, accuracy, products, or services. A reference or link does not necessarily constitute endorsement.

Electronic Communications

When you communicate with Assiduity electronically, including through the Site, you consent to receive responsive, administrative, or relationship-related communications from us electronically. Where permitted by law, electronic communications may satisfy requirements that communications be provided in writing.

Copyright Concerns

Assiduity respects the intellectual-property rights of others. If you believe material appearing on the Site infringes your copyright, please contact us through our contact page and provide information sufficient for us to identify the work, locate the material, understand the basis of the claim, and respond to you.

Nothing in this section represents that a general contact channel has been designated as a statutory agent under the Digital Millennium Copyright Act or another specific notice regime.

Site Security

You may not use the Site, its systems, networks, or services to engage in illegal, abusive, disruptive, or unauthorized activity. Assiduity may take reasonable measures to detect, prevent, investigate, and respond to security threats, misuse, and abuse.

Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASSIDUITY DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Assiduity seeks technical and factual rigor, but research, products, benchmarks, model capabilities, provider behavior, software, and standards can change. We do not warrant that every statement, publication, demonstration, benchmark, citation, analysis, or other item appearing on the Site will at all times be complete, current, accurate, or free from error.

We do not warrant that the Site will be uninterrupted, secure, or free from viruses or other harmful components.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASSIDUITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRIBUTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ITS CONTENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASSIDUITY'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE PUBLIC SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not permit certain exclusions or limitations of liability. Where such law applies, these provisions will operate only to the maximum extent permitted by law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Assiduity and its officers, directors, employees, agents, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or material you submit in violation of another person's rights.

Suspension and Termination

Assiduity may restrict, suspend, or terminate access to all or part of the Site where reasonably necessary to protect the Site, enforce these Terms, respond to unlawful activity, comply with law, or maintain the integrity and security of Assiduity systems. You may stop using the Site at any time.

Provisions that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, and governing law—will survive.

Changes to the Site and These Terms

Assiduity may revise the Site, its policies, or these Terms as our products, business activities, technologies, or legal obligations develop. Material revisions will be posted on the Site with an updated effective date. Your continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law.

Governing Law

These Terms and disputes arising from or relating to the Site will be governed by the laws of the State of California, without regard to its conflict-of-laws principles.

To the extent a dispute is properly brought in court and applicable law permits the parties to select a forum, the state and federal courts located in Los Angeles County, California, will have jurisdiction.

Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the extent necessary, and the remaining provisions will remain in effect.

No Waiver

Failure by Assiduity to enforce a provision of these Terms does not waive our right to enforce that provision or another provision in the future.

Entire Agreement for the Public Site

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular Site feature, constitute the applicable agreement governing use of the public Site. Separate written agreements govern covered Assiduity products, evaluations, pilots, and customer services where applicable.
